Smluvní strany uzavírají tento

Dodatek č. 1 ke Smlouvě o spolupráci při dlouhodobých dodávkách léčivých přípravků ze dne 6. 4. 2022.

I.
Předmět Dodatku

1. Smluvní strany uzavřely dne 6. 4. 2022 Smlouvu o spolupráci při dlouhodobých dodávkách léčivých přípravků, jejíž příloha č. 1, 2 a 3 stanovuje podmínky vyplácení objemového bonusu (dále jen „Smlouva“). Smluvní strany tímto uzavírají dodatek ke Smlouvě, a to v rozsahu stanoveném níže.


2. Smluvní strany dohodly na nahrazení Přílohy č. 1 Smlouvy Přílohou č. 1 tohoto Dodatku, Přílohy č. 2 Smlouvy Přílohou č. 2 tohoto Dodatku, Přílohy č. 3 Smlouvy Přílohou č. 3 tohoto Dodatku


II.
Závěrečná ustanovení

1. Odběratel se zavazuje zveřejnit tento Dodatek v registru smluv v souladu a za podmínek stanovených v zákoně č. 340/2015 Sb., o zvláštních podmínkách účinnosti některých smluv, uveřejňování těchto smluv a o registru smluv (zákon o registru smluv). Dále, vzhledem k tomu, že způsob výpočtu objemového bonusu obsažený v Příloze č. 1, 2 a 3 tohoto Dodatku je vzorem a výpočtem, resp. způsobem kalkulace, na který se podle ustanovení § 3 odst. 2 písm. b) zákona o registru smluv nevztahuje povinnost uveřejnění a zároveň obchodním tajemstvím Dodavatele, Odběratel se zavazuje nezveřejnit Přílohu č. 1, 2 a 3 tohoto Dodatku.

2. Ostatní ustanovení Smlouvy se tímto dodatkem nemění.

3. Smluvní strany shodně konstatují, že v rámci zkvalitnění vzájemné spolupráce a z důvodu dosažení maximální oboustranné výhodnosti spolupracují již od 01.01.2022 tak, jak je stanoveno v tomto dodatku. Jelikož se dosavadní spolupráce uskutečňuje na základě ústní dohody (dále jen „Dohoda“), Smluvní strany se dohodly na uzavření tohoto písemného dodatku, kterým konvalidují Dohodu a sjednávají ji v písemné formě a zároveň konvalidují a v písemné formě potvrzují podmínky dosavadní spolupráce.

4. Tento Dodatek je vyhotoven ve dvou stejnopisech v českém a anglickém znění, z nichž každá strana obdrží jeden. V případě rozporu mezi jazykovými verzemi je rozhodující české znění. Smluvní strany si Dodatek přečetly, s jeho obsahem souhlasí, což stvrzují svými podpisy.

The customer and the supplier shall hereinafter be collectively referred to as the “contractual parties”.


The contractual parties enter into this

Amendment No. 1 to Agreement on Cooperation 
in Long-Term Supply of Medicinal Products dated 6. 4. 2022.


I
Subject Matter of the Amendment

1. The contracting parties concluded a Contract on cooperation in long-term supply of medicinal products on 6. 4. 2022, Annex 1, 2 and 3 to which sets out the conditions for the payment of the volume-based bonus (hereinafter referred to as the “Contract”). The contracting parties hereby enter into an amendment to the Contract, to the extent set out below.

2. The contracting parties agreed to replace Annex No. 1 of the Contract with Annex No. 1 of this Addendum, Annex No. 2 of the Contract with Annex No. 2 of this Addendum, Annex No. 3 of the Contract with Annex No. 3 of this Addendum

Closing provisions

1. The customer undertakes to publish this Amendment in the register of contracts in accordance with and under the conditions set out in Act No. 340/2015 Coll., on special conditions for the effectiveness of certain contracts, publication of these contracts and on the register of contracts (Act on the Register of Contracts). Furthermore, given the method of calculating the volume-based bonus contained in Appendix No. 1, 2 and 3 of this Annex is a model and calculation, or method of calculation, which according to the provisions of § 3 paragraph 2 letter b) of the Act on the Register of Contracts does not apply to the obligation of publication and, at the same time, it is the supplier's business secret, the customer undertakes not to make public Annex No. 1, 2 and 3 to this Amendment.

2. Other provisions of the Contract are not changed by this Amendment.

3. In order to improve mutual cooperation and to maximise mutual benefit, since 01.01.2022, the contractual parties have cooperated as agreed upon in this addendum. As the to-date cooperation has been realised based on an oral arrangement (Arrangement), the contractual parties agreed to conclude this written addendum by which the contractual parties validate the Arrangement and conclude it in a written form and simultaneously validate the conditions of the to-date cooperation and confirm them in a written form.

4. This Amendment is drawn up in two identical copies in Czech and English, of which each party receives one. In the event of a discrepancy between the language versions, the Czech version is decisive. The contracting parties have read the Amendment, agree with its content, which they confirm with their signatures.
