Clanek 1 —- PREDMET SMLOUVY

Predmétem této smlouvy je stanoveni prav a povinnosti smluvnich stran pro pofizeni a vyrobeni
zaznamu Pfedstaveni a poskytnuti licenénich prav k uZiti autorskych dél za Uéelem jeho provedeni
a licenénich prav k uziti uméleckych vykoni vykonnych umélcti vytvofenych pro zivé provedeni
Predstaveni a béhem zkouSek.

The subject of this agreement is the determination of the rights and obligations of the contracting
parties for the recording and producing of the Performance and granting of licencing rights to use
the works of copyright created by Authors of the Performance and to use the artistic performances
rendered for the Peformance live including recordings from rehearsals.

divadla. Nataéenim povéfil Producent CT v souladu s podminkami bilateralni Smlouvy o
podminkach nataéeni (sml. 6. VYR225-000/542), uzaviené mezi Producentem a CT.

The Producer shall make at its cost the audiovisual recording of the Performance during live
stage performances with paying audiences staged in the National Theatre on November 9th
2025 (at 2 p.m. and at 6 p.m.) according to the Time Schedule attached as Annex No. 1 to
this Agreement, which is an integral part of this Contract. The recording of the Performance
shall be made by the CT, commissioned by the Producer in conformity with the bilateral
agreement on the technical conditions of recording (contract No: VYR225-000/542) made
between The Producer and CT.

The Producer shall in cooperation with CT arrange and pay for all technical facilities and
personnel necessary for the recording of the Performance and inform the ND about that.

Pfedstaveni a za svoleni k uZiti uméleckych vykoni umélci provedenych pro pofizeni
zaznamu Pfedstaveni a jejich uziti v ramci tohoto zaznamu ve Filmu.

The Producer is obliged to pay to ND the fee for granting the licences to use the works of
copyright created by Authors of the Performance and to use the artistic performances rendered
for making the recording of the Performance and their use in frame of this recording in the
Film.

Producent je povinen spolupracovat s ND as autory Pfedstaveni na vysledné podobé Filmu.
The Producer is obliged to cooperate with ND and with the authors of the Performance on the
final cut of the Film.

PRAVA A POVINNOSTI ND
RIGHTS AND OBLIGATIONS OF THE ND

ND zajisti Ziva Pfedstaveni dle Harmonogramu dne 9.11.2025 od 14:00 hodin a od 18:00 hodin
za podminek stanovenych touto Smlouvou. Smluvni strany souhlasi s pfitomnosti divakt. ND
souhlasi s tim, Ze vlastni zaznam Pfedstaveni v Narodnim divadle provede pro Producenta
Ceska televize v souladu s technickymi podminkami, a to na zakladé koprodukéni smlouvy mezi
Producentem a CT. Producent a CT natoéi dvé kompletni Pfedstaveni.

ND shall procure live Performances according to the Time Schedule on November 9th 2025 at
2 p.m and at 6 p. m. under the conditions set forth in this Agreement. The Parties agree that the
Performance will be attended by audiences. ND agrees that the recording of the Performance
in the National Theatre shall be made by Czech Television according to the agreement between
the Producer and CT. The Producer and CT will record two sessions of the ballet in its entirety.

ND shall enable the Producer and Czech Television the installation of technical facilities and
shall provide the agreed services and will provide access to the Producer’s personnel to the

premises for the recording in conformity with the bilateral agreement on the technical conditions

of recording made between ND and CT (ref. No: 5724/2025, reg. No. 273/Ba/25/PP).

Anenského arealu po pfedchozi dohodé vSech smluvnich stran.

ND shall enable the Producer and CT access to the Ballet house for the recording of post-takes
- interviews and rehearsals upon prior agreement of ND, the Producer and CT.

d) ND se zavazuje pro tiéely této smlouvy zajistit prava autori: a vykonnych umélct dle Clanku 3

této smlouvy a tyto nasledné za podminek této Smlouvy poskytnout Producentovi. Producent
za né vyplati odménu dle élanku 4 této smlouvy.

ND agrees for the purpose of this agreement to acquire the rights of authors and performers
and to grant these rights to the Producer in consideration of the remuneration stipulated in the
Artice 4 hereunder.

Clanek 3 — LICENCNi UJEDNANI
Article 3 — LICENCE PROVISIONS

ND poskytuje touto smlouvou Producentovi nevyhradni podlicenci k uZiti dé] autord choreografie,
svételného designu, scény a kostymt a projekci Pfedstaveni a uméleckych vykont vykonnych
umélcti — taneéniku, dirigenta a orchestru, a to pouze za ucelem vyroby Filmu za podminek této
smlouvy v nasledujicim rozsahu:

ND grants by this agreement to the Producer non-exclusive sublicence for the use of the works of
the authors of choreography, lights, sets and costumes designers and projections of the
Performance and non-exclusive sublicence to use artistic performances of performers — dancers,
conductor and orchestra for the sole purpose of production of the Film, in the scope as follows:

3.1 — VYUZITI V TELEVIZNIM VYSILANI
3.1 — USE BY BROADCASTING BY TELEVISION

A. Pravo na reprodukci
A. Reproduction right

Toto pravo na reprodukci zahrnuje nasledujict:
This reproduction right includes the following:

1. Pravo nechat vyrobit Film v pivodni francouzskojazyéné verzi a mezinarodni verzi pro distribuci,
pro Zivou produkci dne 9.11.2025 a pro postprodukéni verzi dne 12. a 13.11.2025.
The right to let the Film produced in its original French language version, and International
version for distribution, for the Live production, 9 November 2025 and for the post-produced
version, 12 & 13 November 2025.

2. Pravo zaznamenat nebo nechat zaznamenat Film libovolnymi technickymi prostfedky na
libovolné analogove ¢i digitalni nosiée v libovolnych formatech €ernobile ¢i barevné, véetné
ptivodniho zvuku i statickych snimkt zachycujicich scény pfedstaveni.

The right to record the Film or to let it recorded by all technical means both analogue or digital
carriers in all formats in black and white and in colour, including the original sound and static
images depicting scenes of the performance.

3. Pravo vyhotovit nebo nechat vyhotovit originaly, druha vyhotoveni i kopie koneéné verze Filmu
na libovolnych analogovych Gi digitalnich nosiéich, a to v mnozstvi vyhovujicim Producentovi.
The right to produce or let the originals produced, as well as the second copy or the final copies
of the Film in any analogue or digital bearers, in number suitable for the Producer.

4. Pravo dat nebo nechat dat do obéhu tyto originaly, druha vyhotoveni ¢i kopie pro uéely
televizniho vysilani Filmu a pro uéely vyuziti uvedene nize.
The right to put into circulation or let the originals circulated, as well as the second copy or the
final copies for the purpose of the broadcasting of the Film and for the purpose mentioned below.

Pravo na zobrazovani zahrnuje nasledujici:
The performance right includes the following

bezplatné Gi oproti Uhradé pauSalniho predplatného nebo individualni ceny, s cilovou destinaci
pevnych éi mobilnich koncovych bodt, pri¢emz je povinnosti Producenta informovat provozovatele

vysilani (a obecnéji veSkeré poskytovatele medialnich sluzeb) sidlici, pfipadné jejichz programy
jsou vysilany, ve Francii, Belgii, Svycarsku, Kanadé, Monackém knizectvi, Lucembursku,
Spanélisku, Italii, Argentiné, Bulharsku, LotySsku, Estonsku, Polsku, Knizectvi LichtenStejnsko ¢i
na jakémkoli jiném uzemi, na kterém by svaz SACD, jemuz je Film svéfen, pripadné kterykoli jiny
autorsky svaz jej zastupujici mohl pozdéji zacit pUsobit, o skuteénosti, Ze poskytnuti licence z jeho
strany nezbavuje uvedené provozovatele vysilani (a obecnéji veSkeré vySe uvedené poskytovatele
medialnich sluzeb) zavazkt, které pfijali nebo které musi pfrijmout vuci vySe uvedenym autorskym
svazum.

The right to broadcast the Film or let the Film broadcast in its original version, dubbed or subtitled
by means of television signals difussed terestrially, by satelite, by cable or by means of on-line
transmission such as by the communication networks and namely by Internet and mobile networks
for communication to the public, free of charge aganist payment of lump sum subscription or
individual price, with the aimed destination of fixed or mobile receiving points, provided that it is the
Producer’s obligation to inform the televisoin operators (and providers of media services in general)
having their seat or broadcasting their programmes in the territory of France, Belgium, Switzerland,
Canada. Monaco, Luxembourg, Spain, Italy, Argentina, Bulgaria, Latvia, Estonia, Poland,
Lichenstein or on any other territory at which the collecting society SACD or any other collecting
society could have jurisdiction about the fact, that granting licence by the Producer does not relieve
the broadcasters and operators of media services of the obligations which they accepted towards
the above collecting societes.

Vyslovné se uvadi nasledujici:
It is expressly agreed that

Right to Film and other works of copyright connected to simultaneous, unabridged and unchanged
cable retransmission are and shall remain administered by SACD within the framework of
collective/global agreements which SACD made or will made, directly or indirectly witrh the
distributors of cable signal.

3.2 — DRUHOTNE VYUZITI
3.2-— SECONDARY USE

Prava na druhotné vyuziti zahrnuji nasledujici:
Rights to secondary use shall include the following

— Vyuzivani prostiednictvim placenych ci bezplatnych systémt web-TV ¢i VOD nebo streamovaci
televize Medici.tv.
- Exploitation through pay or free systems web-TV or VOD or streaming television Medici.tv.

- Vyuzivani v interaktivnich multimedialnich programech.
Exploitation in interactive multimedia programmes.

- Nelinearni placené Gi bezplatné vysilani (nelinearnim vysilanim se rozumi zpfistupnéni programu

jakoukoli vefejnou elektronickou komunikaéni sluzbou umozhujici zobrazeni v okamziku
vybraném uzivatelem a na jeho Zadost, a to z katalogu programt: nebo z podskupiny katalogu
programt, jejichz vybér a organizaci maji pod kontrolou pobotky televiznich stanic nebo jiné
subjekty).
Non-linear pay or free transmission (non-linear transmission means making the program available
by any public electronic communications network enabling viewing in the moment chosen by the
user and on his request, either from the programme catalogue or from sub-group of programe
catalague, which are bundled and organized under the control of the subsidiary of the
broadcasting stations or other persons

jinych autord dél uzitych v pfedstaveni, jakychkoli Gasti Filmu ¢i fotografif vytvofenych v
souvislosti s pofizenim prvotniho zaznamu pro propagaéni Uéely jakymikoli zptisoby vyuZziti
uvedenymi v této smlouvé. Pfedchozi pisemny souhlas autora choreografie se vyZaduje pro
jakékoli vyuzivani ¢asti Filmu nebo jeho prvkt (titulky, obsazeni, dekorace, kostymy, dopliky,
fotografie) za Uéelem reklamy.
Right to reproduction and making available, with the exception of personality rights of the author
of choreography or other autors of works included in the Performance, of any part of the Film or
photographs made in connection with the primary recording for promotional purposes by all
means specified by this agreement. Prior written consent of the author of choreography or other
author of work included in the Performance is required for any use of any parts of the Film (title,
cast, set, props, costumes, phoptographs) for the purposes of advertising.

- Pravo na povoleni vefejného promitani Filmu na jakémkoli trhu, festivalu nebo propagaéni akci.
Right to allow public screening of the Film on any trade fair, festival or promotional event.

- Pravo na vyuzivani Filmu veSkerymi audiovizualnimi prostiedky a postupy v nekomerénich sitich,
které jsou znamé ke dni uzavieni této smlouvy.
Right to exploit the Film by all audiovisual means and methods in non-commercial netwoks which
are known at the date of concluding of this agreement.

3.3 - PRAVA VYHRAZENA AUTORUM A VYKONNYM UMELCUM A ND
3.3 - RIGHTS RESERVED TO AUTHORS AND PERFORMERS AND TO ND

VeSkera prava, ktera nejsou vyslovné uvedena v tomto élanku, ziistavaji zcela vyhrazena autorim
a vykonnym umélctim a ND, jez maji pravo s nimi nakladat podle své ville a bez jakéhokoli
omezeni.

All rights that are not mentioned specifically in this Article, remain reserved in full to the authors,
perfomers and to ND respectively, who have the right to dipose them freely at their will and without
any limitation.

Prava na audiovizualni adaptaci baletni choreografie zustavaji vyslovné vyhrazena autorovi
choreografie.

Right to audiovisual adaptation of the ballet choreography remain expressly reserved to the author
of choreography.

VeSkeré definice zptsobU autorskopravniho uZiti dél a vykonti budou interpretovany podle
francouzského zakona 0 ochrané duSevniho viastnictvi.

All definitions of methods of copyright use of works and performances will be interpreted according
to the French law on intellectual property.

3.4 — DELKA TRVANI LICENCE
3.4~— LICENCE PERIOD

1. Prava uvedena vyse v ¢lanku 2 jsou nevyluéné postoupena Producentovi na dobu 10 (deseti)
let poéinaje datem podpisu této smlouvy jejimi smluvnimi stranami.
The rights specified in Article 2 are granted to the Producer non-exlusively for ther period of 10
(ten) years commencing by execution of this agreement by the contractual parties.

2. V pfipadé, Ze by Film nebyl vyroben (za vyrobeny se film povazuje v okamziku vydani koneéné

verze stanovené v Clanku L.1215, pododst. 1 francouzského zakona o duSevnim viastnictvi) do
36 (tficeti Sesti) mésich od data podpisu této smlouvy, bude tato smlouva zruSena pouhym

uplynutim terminu, bez nutnosti jakéhokoli upozornéni nebo pravni formality; autor choreografie
a autofi jinych dél uzitych v Pfedstaveni poté znovu nabyvaji plného a nedilného viastnictvi
vSech svych prav a Castky, které jiz obdrZeli, jim bez ohledu na stav véci zUstanou.

In case that the Film shal not be produced (the film is regarded as produced in the moment of
publication of its final version as defined by Article L 1215 subparagraph 1 of the French
intellectual property act) within 36 months from execution of this document, this agreement shall
be terminated by mere lapse of the term, without necessity to make any notices or legal
formalities, author of choreography an authors of other works used in the Performance shall
again acquire full and undivided ownership of all their rights and the sums that they received will
be retained by them.

Clanek 4 — FINANCNi PODMINKY
Article 4 — FINANCIAL TERMS

1. Producent se zavazuje zaplatit ND za umozZnéni provést a vyrobit zaznam pfedstaveni (Film),
na pokryti personalnich nakladi a dale za poskytnuti sluzeb ND spojenych s pofizenim
zaznamu za podminek této Smlouvy a za poskytnuti licenénich prav dle podminek a v rozsahu
podle této smlouvy pausalni coe (slovy: ee DPH nemusi
byt uhrazeno, protoze Producent je osvobozen od dané pro finanéni pinéni z Ceské republiky:

Inaté 14 dni, a to na zakladé pisemné vyzvy ND, ma ND pravo od této smlouvy odstoupit
prostfednictvim pisemného oznameni zaslaného Producentovi elektronicky na adresu:

WM Olesfilmsfigureslibres.com. Vpfipadé odstoupeni ND veSkeré licence udélené
Producentovi zanikaji a vraci se automaticky zpét ND.
If the Producer fails to pay the remuneration to ND in full and shall not remedy such breach in
additional cure period of 14 days upon receiving written notice made by ND via e-mail:

agreement by notice in writing with effect by delivery of such notice. In case of withdrawal all
licences granted to the Producer will be terminated and will automatically revert to ND.

Clanek 5 —- OSTATNi UJEDNANI

5.1 — ADVERTISING

Ve veSkerych reklamnich materialech na celém svété, bez ohledu na jejich povahu (program,
tiskové materialy), i v Uvodnich a zavéreénych titulcich a na plakatu k Filmu, bude jméno autora
choreografie ve spojeni s uvedenim jména hudebniho skladatele, dirigenta, nazvu Souboru Baletu
Narodniho divadia a Orchestru Narodniho divadla nezbytné uvedeno nejviditelnéjsim pismem
bezprostfedné pfed nazvem Filmu nebo po ném nasledujicim zptisobem:

The name of the author of choreography in connection with then name of the Composer, the
Conductor, the Czech National Ballet and the Orchestra of the National Theatre shall be credited
in the opening and closing credits and on all promotional materials including leaflets worldwide
regardles of their character by most visible letters immediately before or immediately after the title
of the Film as follows:

takovyto postup vyuZzit.

In opening credits the above credit must be independent single card static credit if the single card
credit is used for any other person.

Ostatni autori predstaveni, vystupujici sdlisté — tanetnici, budou uvedeni v uvodnich a zavéreénych
titulcich Filmu a ve veSkeré reklamé, kde je uvedeno jména choreografa nebo jiného tviréiho
spolupracovnika Filmu.

Other authors of the Performance, performing soloist dancers, shall be credited both in opening a
closing credits of the Film and in all advertising where the name of the autor of choreography or
any other creative contributor appears.

V zavérecénych titulkach Filmu budou uvedeni dalsi autori predstaveni, dirigent, Ucinkujicl sdlisté,
vsichni technicti pracovnici, Balet Narodniho divadila a Orchestr Narodnfho divadla. Pouze ve
vSech reklamach, aby byla respektovana struénost této formy, budou uvadéni jako ,Balet
Né&rodntho divadia“ a ,,Orchestr Narodniho divadla“.

Other authors of the Performance, conductor, performing soloist dancers, all technicians and
mentions of the Czech National Ballet and the Orchestra of the National Theatre shall be credited
in the closing credits of the Film. In all advertising only, in order to respect the brevity of the support,
the other Authors of the Performances, performing soloist dancers, technicians and mentions of
the Czech National Ballet will be presented as “Czech National Ballet* and “Orchestra of the
National Theatre“.

5.2 - PRESERVING ELEMENTS THAT HAVE CONTRIBUTED TO THE PRODUCTION OF THE
FILM (Article L. 13224 last subparagraph of the French act on intellectual property

a. Producent se zavazuje zajistit permanentni ulozeni a uchovani na uzemi Francie, v laboratofi
nebo u Producenta téchto filmovych materiald
The Producer shall procure permanent storage and preservation in the territory of France in
l|.aborotory or by the Producer of the following film materials

— master kopie PAD (pfipravena k vysilani), obraz a zvuk.
master copy of PAD (ready to be broadcast) picture and sound

b. Producent pfeda slozku s elektronickym materialem Filmu na nosici DVD (pfipadné na
jakémkoli jiném novém komeréné dostupném nosici) ND bezplatné pro nekomeréni uZziti ukazek
z Filmu, pro propagaci ND a baletniho souboru a pro osobni a soukromé uéely autort
predstaveni, nejvyznamnéjsich vykonnych umélcti a pro uéely Archivu Narodniho divadla po
dokonéeni dila — Filmu.
The Producer will deliver to ND a master file of the Film (or in any other commercially accessible
format) free of charge for non-commercial use of extracts taken from the Film by ND for
promotion of ND and promotion of the Czech National Ballet and for private use of authors and
main perfomers and for the purpose of Archives of National Theatre upon completion of the
Film.

c. Producent se zavazuje na viastni naklady ze zaznamu pfedstaveni vyrobit dva propagacni

audiovizualni spoty (trailery) o pfiblizné délce tricet 30 sekund a Sedesat 60 sekund (dale jen
» Trailery“) a po dokonéeni Filmu je pfedat ND v bézné uZivaném vysilacim/digitalnim formatu
(broadcast-ready), véetné ,clean“ a ,texted" verze. Trailery jsou uréeny vyluéné k propagaci
zaznamu inscenace a k propagaci televizni premiéry na Mezzo TV; poskytnuti je bezuplatné.
Obsah Trailerd musi byt v souladu s finalnim schvalenym obrazovym a zvukovym znénim Filmu;
ND je opravnéno Trailery schvalit nebo pozadovat priméfené upravy. Pro vylouceni pochybnosti
toto ustanoveni nezaklada zadna dalsi prava k obchodnimu uziti Filmu mimo rozsah zde
vyslovné uvedeny.
The Producer shall, at its own expense, produce from the recording of the performance two
promotional audiovisual spots (trailers) of approximately thirty (30) seconds and sixty (60)
seconds in length (each a “Trailer” and together the “Trailers”) and, upon completion of the Film,
deliver them to ND in customary broadcast-ready digital formats, including clean and texted
versions. The Trailers shall be used solely for the promotion of the recording of the stage
production and of the television premiere on Mezzo TV; delivery shall be free of charge. The
content of the Trailers shall conform to the final, approved picture and sound of the Film; ND
shall have the right to approve the Trailers or require reasonable adjustments. For the avoidance
of doubt, this clause does not grant any additional rights of commercial exploitation of the Film
beyond the promotional use expressly set out herein.

5.3 - OCHRANA PRAV
5.3 —- PROTECTION OF THE RIGHTS

1. S vyhradou pfispévkt autorskym svazim zaruéuje ND Producentovi ni€im neruSeny vykon
poskytnutych prav v rozsahu a za podminek této Smlouvy.
Subject to making contributions to collecting societes ND guarantees to the Producer a non
disturbed exercise of the rights granted within the scope and under the conditions of this
Agreement.

2. Producent ma podle této smlouvy pravo potirat veSkerou Cinnost spocivajici v padélani, imitaci
Gi zneuzivani Filmu v jakékoli podobé, v mezich prav poskytnutych za podminek této smiouvy,
avSak na viastni naklady, rizika a nebezpe¢i a na vilastni zadost.

The Producer has the right to adopt measures against copyright infringements — illegal copying,
imitation or misuse of the Film in any manner, within the limits of the rights granted under this
agreement but on the Producer's cost and risk and at the Producer’s own initiative.

3. Rozumi se, Ze ND zaruéuje poskytnuta prava pouze v mife a v mezich, v jakych je literarni a
umélecké viastnictvi uznavano a zajistovano misini legislativou, mistnimi zvyklostmi a mistnim
soudnictvim.

It is understood that ND guarantees the rights granted only within limits and to the extent in
which the protection of literary and artistic works is acknowledged and effected by local
legislation, local habits and local judiciary.

4. ND zajisti, aby autofi dodali Producentovi na jeho Zadost veSkera osvédéeni, jez by od nich
mohl Producent pozadovat pro francouzské ufedni organy, kterym by takovéto osvédéeni musel
Producent dodat.

ND shall procure that the author shall deliver to the Producer at its request all certificates, that
the Producer may require for French administrative organs, to which the Producer will be obliged
to deliver such certificates.

5. ND zajistilo souhlas autort a vykonnych umélct s tim, Ze do Filmu v okamziku jeho vyuzivani
(zejména béhem televizniho vysilani) budou vkladana reklamni sdélen{ zahrnujici jakékoli firmy,
znacek vyrobkt nebo sluzeb, a to za prisného dodrzovani platnych zakonnych ustanoveni a
predpist.

Stejné tak ND vyslovné pfijima v prabéhu vysilani Filmu pfitomnost rozliSovaci znaéky Gi ,,loga“
provozovatele televizniho vysilani ¢i ozna¢eni souvisejicich s ochranou déti a dospivajicich.
ND has ensured the consent of the authors and performers with insertion of advertising
messages containing any names of companies, their products and services into the Film during
its expoloitation namely during its broadcasting under strict observance of the legal regulations
and by-laws.

Similarly ND expressly accepts that during the broadcasting of the Film appearance of logo of
the broadcaster or labelling of the Film connected with the protection of children and minors.

6. Producent se zavazuje, Ze nepouzije audiovizualni dilo (Film) v rozporu s dobrymi mravy. V

pfipadé, Ze Producent pouZzije audiovizualni dilo (Film) v rozporu s dobrymi mravy, je povinen
zaplatit ND smluvni pokutu ve vySi =100.000,- Ké. Povinnosti Producenta uvedené v tomto bodé
pfechazi v pfipadé postoupeni prav a povinnosti ve smyslu él 5.4. na jakoukoliv tieti osobu
uréenou Producentem.
The Producer undertakes not to use the audiovisual work (Film) contrary to good morals. In the
event that the Producer uses an audiovisual work (Film) in violation of good morals, he is obliged
to pay ND a contractual penalty in the amount of CZK =100,000,-. The obligations of the
Producer stated in this point shall pass in the event of a transfer of rights and obligations within
the meaning of Article 5.4. to any third party designated by the Producer.

5.4 - NASLEDNE POSTOUPENI TRETIM STRANAM
5.4 - SUBSEQUENT ASSIGNMENT TO THIRD PARTIES

Producent ma mozZnost nasledné postoupit tretim stranam prava a povinnosti vyplyvajici z této
smlouvy, zejména v ramci francouzsko-zahraniéni koprodukce, za podminky, ze takovéto nasledné
postoupeni oznami ND doporuéenym dopisem, a Ze Zajisti UpIné dodrzeni zavazkt vyplyvajicich z
této smlouvy nabyvatelem. Nasledné postoupeni téchto prav a povinnosti tfetim stranam je
podminéno pisemnym souhlasem ND.

The Producer has the right to subsequently assign to third parties rights and obligations ensuing
from this agreement, namely within the framework of french-foreign co-production, subject to the
condition, that the Producer notifies ND by registered letter of such assignment and that the
Producer ensures that third party licensor will abide by the obligations ensuing from this agreement.

Any subsequent assignment to third parties these rights and obligations is subject to the written
consent of ND.

5.5 — PRIDELEN| MEZINARODNIHO STANDARDNIHO CISLA AUDIOVIZUALNIHO DiLA
(ISAN)

5.5 — ALLOTMENT OF THE INTERNATIONAL STANDARD NUMBER OF AUDIOVISUAL
WORK (ISAN)

Producent se zavazuje na své naklady registrovat Film u Francouzské agentury ISAN za ucéelem
nechat od ni pfidélit Filmu mezinarodni standardni cislo ISAN (International Standard Audiovisual
Number), a to nejpozdéji do prvniho verfejného promitani Filmu.

The Producer shall at its cost register the Film with the French ISAN Agency for the purpose of
allocation of international standard audiovisual number, no later at the day of the first public
broadcasting of the Film.

Producent oznami ND na jeho zadost pridéleni Cisla ISAN.

The Producer shall notify ND at its request the allocation of ISAN.

5.6 —- TECHNICKA OCHRANNA OPATRENI
5.6 — TECHNICAL MEASURES

Pfi uplatnéni ustanoveni élanku L.131-9 zakona o duSevnim viastnictvi uznava ND, ze Producent
ma mozZnost, bez omezeni ustanoveni Glanku L.311-1 zakona o duSevnim vlastnictvi vénujicimu
se odménam za soukromé kopie, v ramci jakéhokoli digitalniho vyuzivani Filmu ¢i jeho doplhujicich
prvkt v souladu s Glankem 2 této smlouvy a zejména pak v ramci jakéhokoli vyuzivani Filmu a jeho
doplnujicich prvkti v systemech VOD (pfi linearnim vysilani ,streaming* Ci pri doéasném Ci
permanentnim stahovani), pfijmout veSkera technicka ochranna opatfeni (zejména, nikoli vSak
vyluéné, jakékoli postupy Sifrovani ci detekce a Uzemniho blokovani), jako jsou napfiklad opatfeni
uvedena a povolena v élanku L.331-5 zakona o duSevnim vlastnictvi na jedné strané, a vSechna
technicka informaéni opatfeni (zejména, nikoli vSak vyluéné, jakakoli opatreni znaceni Ci digitalnich
vodoznakti ,watermarking"), jako jsou napfikiad opatfeni uvedena a povolena v Clanku L.331-22
zakona o dugevnim viastnictvi na strané druhé, a to za Uéelem zabranit nelegalnim kopiim a hlidat
dodrzovani uzemni platnosti prav, které jsou Producentovi udélena ¢i ktera udéli jakymkoli tretim
stranam, a nejobecnéji pak za Ucelem hlidat dodrzZovani prav autort ¢i Producenta na Film a na
jeho dopltujicl prvky. Na pisemnou zadost ND sdéli Producent ND hlavni charakteristiky
ochrannych opafeni.

For the implementation of the Article L 131-9 of the act on intellectual property ND acknowledges
that the Producer has the option, without limiting the provision of the Article L 311-1 of the act on
intellectual property devoted to remuneration for private copies, during any digital exploitation of
the Film or its additional elements in accordance with the Article 2 of this agreement and namely
during any exploitation of the Film and its supplementary elements in VOD systems (during linear
streaming or during temporary or permament downloading) adopt all technical measures (without
limitation to methods of encryption, detection or geoblocking) such as are for example measures
permitted and specified in the Article L 331-5 of the act on intellectual property on the one part and
all technical information measures (namely but not limited to any provision of marking or digital
watermarking) such as are measures specified in the Article L 331-22 of the law on intellectual
property on the other part for the purpose of preventing illegal copying and observing the
geographical limitation of rights granted to the Producer of the Film or which the Producer grants
to third parties and generally for the purpose of ensuring protection of rights of authors and the
Producer to the Film and its supplementary elements.

On written requwst of ND, the Producer shall notify ND of the main characteristics of the protective
measures.

5.7 - ZABEZPECOVACi DOLOZKA

V pfipadé nepinéni kteréhokoli z ustanoveni této smlouvy pres upozornéni doporuéenym dopisem
$ potvrzenim o doruceni, které tak zustane neucinné po 15 (patnact) dnt od doruéeni, bude tato
smlouva pinym pravem zruSena zdivodu zavinéni a pochybeni neplnici strany prostym
doporucenym dopisem s doruéenkou bez dalsich pravnich formalit, bez omezeni pfi padnych
nahrad.

If case of breach of any provision of this agreement which breach is not cured by the defaulting
party within cure period of 15 days from delivery, notification of such breach, this agreement shall
be cancelled due to wilfull breach of the agreement the defaulting party by simple registered letter
withoiut furter legal formalities and without limitation to claims of eventual remedies.

5.8 - ZAPIS DO KINEMATOGRAFICKEHO A AUDIOVIZUALNIHO REJSTRIKU
5.8 - RECORDING INTO CINEMATOGRAPHIC AND AUDIOVISUAL REGISTRY

Producent se zavazuje zanést v pfipadé potfeby tuto umluvu do Kinematografického a
audiovizualniho rejstriku.

The Producer is obliged to register this agreement into the Cinematographic and Audiovisual
Registry, if needed.

5.9 - SPORY
5.9 - DISPUTES

V piipadé sporti se smluvni strany zavazuji k tomu, Ze se spornou zalezitost pokusi primarné
vyfesit smirnou cestou, tedy dohodou smiuvnich stran. Pokud smluvni strany nenaleznou smirné
reSeni, spada véc do kompetence pfisluSnych soudti v Toulouse.

In the event of a dispute, the contracting parties undertake to try to resolve the dispute primarily by
amicable means, ie by agreement of the contracting parties. If the contracting parties do not find
an amicable solution, the matter shall be referred to the courts of competent jurisdiction in Toulouse.

5.10 VOLBA PRAVA SMLOUVY
5.10 CHOICE OF THE LAW GOVERNING THE AGREEMENT

Tato smlouva se fidi francouzskym pravnim fadem.
This agreement is governed by the French law.

5.11 DALSi USTANOVENI
5.11 OTHER PROVISIONS

Original smlouvy je vyhotoven v bilingvaini 6esko-anglické verzi ve trech vyhotovenich.

V pfipadé sporu je rozhodné anglické znéni smlouvy. Tuto smlouvu Ize ménit pouze pisemné, a to
formou €islovanych dodatku.

The original if this agreement is made in bilingual Czech-English versions in three copies. In the
event of a dispute between the parties, the English version of this Agreement shall prevail.

This contract can be changed only in writing, in the form of numbered amendments.

Smlouva nabyva platnosti dnem jejiho podpisu smluvnimi stranami a uéinnosti dnem jejiho
uvefejnéni v registru smluv dle zakona é. 340/2015 Sb.

The agreement shall become valid on the day it is signed by both contracting parties and effective
upon its publication in the Register of Contracts pursuant to Act No. 340/2015 Coll.
