                        Addendum Agreement to the License Agreement between IQVIA Technology Solutions s.r.o. (“IQVIA”) and St Anne’s University Hospital in Brno (“Hospital”)

	BACKGROUND 
The parties entered into a License Agreement for the purpose of deployment of Software at the Hospital, in order to enable Hospital the identification of patients who would be eligible for research studies, Hospital Agreement No. Tsm/2022/183/Fi. The Agreement was concluded on 29.12.2022.


	The parties now further agreed that IQVIA will provide financial support to the Hospital to enable the employment of 6 Annotators, hired by the Hospital, which is needed to annotate the Hospital’s 2000 reports necessary for the NLP module training. 

The Parties state unanimously that the sole purpose of this Addendum is to compensate for costs incurred in connection with the Annotators work related to the reports’ annotation and does not in any way aim at affecting the conduct of any clinical trials, the compensation of patients or the terms and conditions of patient enrolment, or any form of compensation for the Parties' or their employees' involvement. 

The Parties now wish to amend the terms of the Agreement as set out below. 


	IT IS AGREED: 


	Schedule 1 of this Addendum are incorporated into the Agreement and will apply with effect from the effective date of this Addendum.

IQVIA shall provide funding to support the training of the NLP algorithm through the Annotation process, as part of the implementation of the IQVIA Patient Finder Solution, on the terms set out in Schedule 1.


	The payments shall be subject to and conditional upon the Hospital having reached specific project milestones.  
Nothing in this Addendum agreement is intended to modify, alter, reduce or change the rights or obligations of the parties in the Agreement except as expressly stated. All other terms of the Agreement are affirmed. 
In witness whereof, the parties have caused this Addendum agreement to be executed by their duly authorised representatives.

	SCHEDULE 1


	IQVIA will provide financial support to the Hospital to enable the Annotation process to be carried out by the annotators hired by the Hospital.

	Scope of Work

	The hospital will provide access to a balanced set of at least 2,000 clinical texts sourced from any clinical system, stratified by date, department, and type. At least two data annotators per document will pseudonymize and annotate these texts. A supervisor will oversee the annotation process and resolve discrepancies. IQVIA will facilitate annotation tools, guidelines, and support, and will develop and deploy improved NLP models based on the annotated data.

- Annotation guidelines and supervision protocol 
- NLP models tuned to hospital-specific data
- Deployment of improved NLP models in the hospital

Hospital:
- 2.000 fully annotated reports verified for quality and completeness

	Roles & Responsibilities

	IQVIA:
- Provide annotation tools and guidelines
- Support annotation process and supervision
- Upload reports to IQVIA L3 environment
- Develop and deploy NLP models
- Ensure data privacy and compliance

Hospital:
- Provide access to clinical texts
- Assign annotators and supervisor
- Ensure pseudonymization and annotation quality

	Requirements
	- Access to at least 2,000 clinical texts
- Two annotators per document with medical expertise
- One supervisor for annotation oversight
- Data processing agreement in place for exporting reports to IQVIA L3 Azure environment

	Commercial Terms
	IQVIA will compensate the hospital for the annotation services provided as part of this project. The following terms apply:

Compensation: IQVIA will remunerate the hospital at the agreed hourly rate for each annotator (11 euros/hour) senior annotator (28 euros/hour) and supervisor (36 euros/hour) involved in the annotation process up until a total amount of 10,000 EUR.

Invoicing: The hospital will submit monthly invoices detailing the hours worked by each annotator. IQVIA will process payments within the usual valid terms of receiving a valid invoice.
Payments: Payment will be made by IQVIA within sixty (60) days of receipt of proforma invoice from Hospital.

Deliverables: Payment is contingent upon the delivery of fully annotated reports, verified for quality and completeness, and in line with the annotation guidelines provided by IQVIA.

Adjustments: Any changes to the scope, volume, or timeline of the annotation work must be agreed upon in writing by both parties and may result in adjustments to the compensation.
