a) Zastupovat Spoleénost, a ve své pozici vedouciho oddéleni administrativni podpory, a Cinit
vSechny pfisluSné pravni ukony tykajici se oblasti servisu.
To represent the Company in its position as Back Office Manager of the Company and carry
out any and all act related to the following areas of activities: Service.

b) v oblastech uvedenych vodstavci a) této piné moci zastupovat Spoletnost vuci

zaméstnanctim Spoleénosti, tfetim osobam a vefejnopravnim organtim, a to vSe v ramci
limitu specifikovanych této piné moci.
In the areas specified in the Section a) of this Power of Attomey the Attomey shall be
authorised to represent the company vis-a-vis the employees of the Company, third parties
and administrative authorities, all within the limits of the authorisations set by this Power of
Attomey.

Cc) Zmocnénec je opravnén jménem Spolecnosti, vyjednat, Cinit, ménit, prijimat a odmitat navrhy
k uzavfeni smluv, uzavirat, podepisovat a vypovidat smlouvy, tykajici se zfizeni,
rekonstrukce, modernizace, opravy a servisu vytaht, eskalatort a pohyblivych chodniku, pfi
stanoveni finanéniho limitu pro kazdou jednotlivou smlouvu ve vySi 250 000,- Ké (nebo
ekvivalent prisluSné mény). Zmocnénec je dale opravnén dohlizet na plnéni téchto smluv a
prijimat plnéni z danych smluv, jakoZto i plnéni z techto smluv jménem Spolecénosti vymahat.
The Attomey is authorised on behalf of the Company to negotiate, propose, amend, accept
and refuse proposals for entering into agreements, enter into, sign and terminate agreements
for the reconstruction, modemization, repair and service maintenance of lifts, escalators and
moving pavements, with a financial limit for each individual agreement in the amount of
250.000.- CZK (or the currency equivalent thereof). The Attomey is further authorised to
supervise the performance of such agreements, accept performances as well as enforce the
due performance of these agreements on behalf of the Company.

d) Zmocnénec je opravnén uzavirat a podepisovat smlouvy uvedené v odst. c) vzdy sou¢asné
s dalSim opravnénym zmocnéncem Spoleénosti.
The Attomey is authorised to enter into and sigh the agreements specified in Section c) always
together with other authorised representative of the Company.

e) Zmocnénec je opravnén Cinit Ukony uvedené v odst. c) pro smlouvy, jejichz misto pinéni se
nachazi v regionu Ceské Republiky.
The Attomey is authorised to carry out act specified in Section c) in relation to agreements,
the performance place of which is located in the region of Czech Republic.


Zmocnénec se zavazuje informovat zastupce statutarniho organu Spoletnost o vSech pripadnych
problémech ¢i nedostatku prostfedku nezbytnych k realizaci plné moci. Zmocnénec je povinen
zastupce statutamniho organu Spoleénosti pravidelné informovat o vSech dulezitych skute¢nostech
tykajicich se vykonu zmocnéni dle této plné moci.

The Attomey undertakes to inform the representative of the statutory body of the Company about any
and all problems or lack of administrative means which would allow him for due realization of this
Power of Attomey. The Attomey is obliged to regularly inform the representative of the statutory body
of the Company about all important facts related to the excessing of the authorisations under this
Power of Attomey.

Tato plna moc je udélena na jeden (1) rok ode dne jejiho podpisu.
This Power of Attomey is granted for a period of one (1) year as of the day of its signature.

Bez ohledu na shora uvedené, je vSak Spolecnost opravnéna tuto plnou moc kdykoli odvolat, bez
udani duvodu a vypovédni doby, a bez toho, ze by Zmocnénci vzniklo pravo pozadovat jakékoli
odskodnéni. Tato plna moc zanika téz ke dni, ke kterému je ukonéen pracovni pomér Zmocnénce ke
Spoleénosti.

Regardless of the above, this Power of Attomey may be withdrawn by the Company at any time,
without any given reason or termination period. The Attorney shall not gain any nght to demand any
compensation. This Power of Attomey shall also terminate as of the day of the termination of the
employment relation of the Attomey with the Company.

Bez pfedchoziho pisemného souhlasu Spoleénosti neni Zmocnénec opravnén dale zmocnit
v rozsahu této piné moci (a to ani Casteéné) jinou osobu.

Without a prior written approval of the Company the Attomey is not authonsed to delegate the powers
granted in this Power of the Attomey (not even partially) to a third party.

Tato pina moc je vyhotovena v céeském a anglickém jazyce. V pfipadé rozdil mezi éeskou a
anglickou verzi, rozhoduje verze €eska

This Power of Attorney is made in Czech and English. In the event of discrepancies between the
Czech and English version, the Czech version shall prevail.
