CONTRACT № CZ-5/18
Parties:
Czech Technical University in Prague, Faculty of Electrical Engineering (Customer), authorized representative Pavel Ripka, Dean
and
Institute of High Current Electronics, Siberian Branch, Russian Academy of Sciences (IHCE SB RAS) (Contractor), authorized representative Nikolay A. Ratakhin, Director,
have concluded the present Contract about the following:
Article 1 – OBJECTIVES
1.1. The Contractor shall perform the following research work:
"Characterization of the ion flows generated during the implosions of deuterium gas puffs with an outer plasma shell".
1.2. The work of this Contract will be performed by the IHCE SB RAS team headed by Dr. N.A. Ratakhin (Head of the High Energy Density Department); principal investigator is Dr. XXXX.
1.3. The Customer shall accept the work, in case it is done according to this Contract, and shall pay for it according to the terms of the Contract.
1.4. The Customer undertakes to use the obtained results of investigation for scientific purposes only.
Article 2 – STATEMENT OF WORK
2.1. The goal of the scientific work is to conduct fundamental research aimed at obtaining new scientific data about the mechanisms of neutron generation in Z-pinch plasma.
2.2. Before the start of the experiments, the Contractor shall perform preparation of the generator, the load unit of the generator, and the necessary diagnostic equipment to conduct experiments with deuterium gas puffs with an outer plasma shell.
2.3. The Contractor shall carry out a set of experiments with deuterium gas puffs with an outer plasma shell at a generator current up to 4 MA and obtain experimental data characterizing the ion flows generated in the final stage of the implosion (temporal evolution of the source, particle energies, and spatial distribution of particles of different energies).
2.4. The Customer shall provide all possible assistance in the preparation for experimental studies, as well as participate in planning and conducting the experiments.
2.5. As a result of the research work, the Contractor shall provide the Customer with: (1) a description of the initial conditions for each experiment; (2) the experimental data – waveforms of electrical sensors, radiation detectors, as well as images obtained by optical diagnostics.
2.6. The Parties agreed to publish the results of research in scientific journals, subject to clause 8.4. of the Contract.
Article 3 – COMPLETION DATES
3.1. The effective date of the Contract is the date when it is signed by both Parties.
3.2. The works on preparation to the experiments shall be carried out by the Contractor in the period to April 1, 2018.
3.3. The experiments shall be carried out by the Contractor in the period from April 2, 2018 to June 15, 2018.
3.4. The Protocol of Acceptance of all works has to be signed by both Parties within two weeks after completion by the Contractor the works under the Contract.
3.5. The date of completion of works on the Contract is the date of signing the Protocol of Acceptance of all works under this Contract. The Contract will be considered as finished when all the works are performed and all the payments are made.
Article 4 – TOTAL PRICE
4.1. The total price is XXXX USD (XXXX USD).
4.2. The total price includes all costs associated with the purchase of component parts and materials, fabrication of necessary parts and testing of experimental equipment, scientific research, as well as taxes and fees required in Russia due to fulfillment of the given Contract.
Article 5 – PAYMENT TERMS AND PAYMENT SCHEDULE
5.1. The Customer makes payments according to the schedule in Table 1.

In the accompanying information to the bank remittance, the Customer shall indicate the following:
1. Contract number;
2. Invoice number;
3. Amount of payment in USD;
5.2. Payments have to be made as wire transfer to the Contractor bank account. No checks are acceptable.
5.3. Each Party pays the costs of money transfer incurred on its territory. All commissions of the correspondent banks shall be paid by the Contractor.
Article 6 – OTHER CONDITIONS
6.1. The Contractor may spend funding of the Contract to pay expenses connected with scientific visits for collaborative work as well as to participate in the International Conferences.
6.2. All changes in the Contract are valid if only they are written and signed by both Parties.
6.3. The Parties agree with publication of this Contract in the register of contracts pursuant to the Act no. 340/2015 Coll., On the register of contracts. The publication shall be ensured by the Czech Technical University in Prague; if one of the parties considers some of the information specified in the Contract for personal information or trade secrets, or data that may be to publish under the Act, such information must be explicitly identified as such during the contracting process.
Article 7 - RELEASE FROM RESPONSIBILITY
7.1. The Parties are released from responsibility if non-fulfillment or improper fulfillment of the Contract conditions was caused by extraordinary or unpreventable circumstances that occurred after the Contract has been concluded. For instance: wars, war events, epidemics, fires, explosions, accidents at transport, natural calamities, etc.
7.2. The Party subjected to the action of Force Majeure circumstances or run into an obstacle out of its control have to notify the other Party by fax messages or telegrams about the beginning, form, and possible duration of action of the indicated circumstances and obstacles immediately.
7.3. If the above-mentioned notification is not made at the earliest possible date, the Party subjected to the action of Force Majeure circumstances or run into an obstacle out of its control is deprived of the right to allude to them in its excuse unless Force Majeure circumstances or obstacles gave no chance to send a notification.
7.4. The term of fulfillment of the Contract obligations is prolonged for the period of action of the above-mentioned Force Majeure circumstances and obstacles and for a reasonable period necessary to eliminate their consequences.
7.5. If the circumstances indicated in 7.1. last in excess of three months, the Parties have to decide the fate of the Contract. In case they come to no consent, the Party that has been affected by the above-mentioned circumstances has the right to annul the Contract without appeal to arbitration.
Article 8 – INTELLECTUAL PROPERTY
8.1. Background intellectual property remains the property of the Party possessing such intellectual property.
8.2. Scientific data obtained as a result of work under this Contract are the joint intellectual property of both Parties.
8.3. Each Party shall indicate the authorship of the other Party, when using the results of the Contract, in printed materials and at congresses, conferences, meetings, consultations and other academic and promotional events for the exchange and presentation of information.
8.4. The content of any publication that uses the results of this Contract shall be finalized and approved by both Parties before sending for publication.
