STIPENDIUM AGREEMENT

This Stipendium Agreement (the “Agreement”) has been concluded on the day specified below in accordance with Sec. 2055 et seq. of the Act No. 89/2012 Coll., the Civil Code by and between:

xxxxxxxxxxxxxxxx., a company incorporated according to laws of thexxxxxxxxxxxx, with its registered seat at xxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxx (the “Donor”); and
Xxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxx with its registered seat at xxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxx (the “Donee”)
(the Donor and Donee also referred to individually as a “Party” and collectively as “Parties”)

WHEREAS
	The Donee has entered into a research partnership with the Donee in the following projects: Demo engine action model technology, and Implementing thesis (and other) faculty processes in DEMO engine and ACMS (the “Projects”); as described in the letter of intent of March 3, 2014; subject to and compliant with the agreement between Parties dated December 20, 2013;
	The research in the Projects is carried out by the student of the Donee (the “Student”), xxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxx in close collaboration with Donor;
	The Donor wish to support the student and therefore wish to provide the Donee with the financial stipendium in accordance with this Agreement;
THEREFORE, IT IS AGREED AS FOLLOWS:

SUBJECT MATTER OF AGREEMENT
The Donor donates (in Czech: daruje) the Donee a financial stipendium (in Czech: finanční dar) in the amount of EUR 1470,- (in words: fourteen hundred and seventy Euro) per month during a period starting April 1, 2017, until March 31, 2018, (the “stipendium”) in accordance with this Agreement and the Donee accepts it.
	The stipendium shall be used by the Donee for scholarships - stipendia for the student (1400,- EUR per month) and for necessary administrative coverage of the Projects (EUR 70,- per month).

RIGHTS AND OBLIGATIONS OF PARTIES
The stipendium shall be provided by the Donor to the Donee as follows:
	EUR 8820,- within 10 working days after receipt of an invoice for the first 6 month period by the Donor from the Donee, and receipt of an invoice for the second period of 6 months for an amount of EUR 8820,- by October 1, 2017.
	Any payment of the stipendium shall be paid by the Donor to the Donee by a wire transfer to the following bank account of the Donee: SWIFT (BIC) xxxxxxxxxxxxx, IBAN: xxxxxxxxxxxxxxxxxxxxxxxx
	The Donee undertakes to use the stipendium only for purposes specified in the Article above.
	The Donee undertakes to submit to the Donor any time on the basis of Donor’s request documents evidencing the utilization of the stipendium for the purpose agreed hereunder.
	The Donor hereby represents that nothing prevents the Donor to enter into this Agreement and it has obtained all required approvals required to enter into this Agreement.
	Each Party hereby represents that the fulfillment of this Agreement does not breach any generally binding legal regulations or internal policies applicable to such Party.
	The Parties are entitled to disclose information relating to the stipendium or this Agreement if required by legal regulations or internal policies. 

FINAL PROVISIONS
If, at any time, any provision of this Agreement is or becomes invalid or unenforceable in any respect under any law of any jurisdiction, neither the legality, validity or enforceability of the remaining provisions nor the legality, validity or enforceability of such provision under the law of any other jurisdiction will in any way be affected or impaired.
	This Agreement becomes valid and effective upon its execution by both Parties.
	This Agreement is made in two counterparts in English, with each Party receiving one counterpart.
	Changes and amendments to this Agreement may only be made in the form of written numbered amendments executed by both Parties.
